Terms of Use

1. Introduction

These Terms of Use ("Terms") are a binding agreement between you and XGame ("XGame", "we", "us", or "our") and govern your access to and use of the XGame website, games portal, and asset market (together, the "Service"). By accessing or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of majority where you live, to use the Service. We may revise these Terms from time to time; continued use of the Service after a change means you accept the revised Terms.

2. Our Services

XGame curates and links to games operated by independent third-party studios, and provides a marketplace where players can list, bid on, and trade in-game assets recorded on public blockchains. The games themselves are separate products of their respective studios, with their own terms and rules; XGame does not operate them and is not responsible for their availability, gameplay, or economies. We may add, change, suspend, or remove features of the Service at any time.

3. Intellectual Property Rights

The Service — including the XGame name, logo, design, text, and software — is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use. Game titles, artwork, and media featured on the Service belong to their respective studios and are used with permission.

Owning an on-chain asset (such as an NFT) gives you ownership of that token, not of the underlying artwork or intellectual property, unless the issuing studio expressly grants those rights. Check each collection's license for what you may do with the associated content.

4. Communications

By creating an account you agree to receive service communications from us, such as security notices, trade confirmations, and updates about the Service. You may opt out of non-essential communications at any time using the unsubscribe link or your account settings.

5. User Registration

You may need an account to use parts of the Service. You agree to provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for all activity under your account and for securing any wallet you connect — including seed phrases and private keys, which we never ask for and cannot recover. Notify us immediately of any unauthorized use of your account.

6. Fees and Payment

Trades on the market may carry fees — such as creator royalties, platform fees, and treasury contributions — which are itemized in the trade summary before you confirm. Blockchain network (gas) fees, where applicable, are paid to the network and not to us. Transactions recorded on-chain are final: except where required by law, all sales are non-refundable and non-reversible. You are responsible for any taxes that apply to your activity.

7. User Content

You retain ownership of content you submit to the Service (such as display names, avatars, and messages), and you grant us a worldwide, non-exclusive, royalty-free license to host and display it as part of operating the Service. You are responsible for your content and must have the rights to whatever you post; we may remove content that violates these Terms.

8. Interactions with Other Users

Trades on the market are entered into directly between users; XGame provides the venue and settlement tooling but is not a party to any transaction. You are solely responsible for your interactions and dealings with other users, and we have no obligation to mediate disputes between users.

9. Third-Party Websites and Content

The Service links to third-party sites — including partner games, studios, stores, and social channels. We do not control and are not responsible for their content, policies, or practices. Following such links and using third-party services is at your own risk and subject to their terms.

10. Acceptable Use Policy

You agree not to, and not to help others to:

  • Break the law or infringe anyone's rights while using the Service
  • Cheat, exploit bugs, or use bots, scripts, or automation to gain unfair advantage
  • Manipulate the market — including wash trading, spoofing, or price collusion
  • Impersonate any person or entity, or misrepresent your affiliation
  • Scrape, copy, or harvest data from the Service except as we expressly allow
  • Upload malicious code or attempt to probe, disrupt, or overload our systems
  • Circumvent any security or access-control measure of the Service

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. You may stop using the Service at any time. Termination does not affect assets you hold on public blockchains — they remain in your wallet — but you may lose access to Service features connected to your account.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which XGame is established, without regard to conflict-of-law rules. Mandatory consumer-protection laws of your country of residence remain unaffected where they apply.

13. Dispute Resolution

If you have a dispute with us, contact us first and we will try to resolve it informally within 60 days. Disputes that cannot be resolved informally will be finally settled by binding arbitration on an individual basis, except where applicable law gives you the right to bring claims in your local courts. You and XGame each waive any right to a class action to the extent permitted by law.

14. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any listed asset will hold or gain value.

15. Limitation of Liability

To the maximum extent permitted by law, XGame and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or loss of digital assets — arising from your use of the Service. Our total liability for any claim will not exceed the greater of the fees you paid us in the twelve months before the claim arose or USD 100.

16. Assumption of Risk

You understand and accept the risks inherent in blockchain-based services, including:

  • Digital-asset prices are volatile and may fall to zero
  • On-chain transactions are irreversible; mistaken transfers usually cannot be undone
  • Smart contracts may contain bugs or be exploited despite audits
  • Losing your wallet keys means losing access to your assets — no one can restore them
  • The legal and regulatory treatment of digital assets is evolving and uncertain

17. Investigations

We may investigate suspected violations of these Terms, and may cooperate with law enforcement or other authorities in investigating unlawful activity — including disclosing relevant information where legally required, consistent with our Privacy Policy.

18. Indemnification

You agree to defend, indemnify, and hold harmless XGame and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or of any third party's rights.

19. Release

To the extent permitted by law, you release XGame from claims and damages of every kind arising out of disputes between you and other users or third-party studios, including disputes over trades, game outcomes, or asset values.

20. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and XGame regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
